CEI Media Group (“CEI,” “Company,” “we,” “our,” or “us”) is a trade name and operating brand of Complete Entertainment Inc.,
an Illinois corporation duly registered with the Illinois Secretary of State.

1. Acceptance

By accessing CEI services, visiting company websites or interacting with company AI systems, you agree to these Terms.

2. Scope of Services

CEI provides marketing, communications, content production, AI integration, digital employees, automation systems,
and analytics services. Services are governed by written agreements where applicable.

3. SMS Messaging Terms

By providing your phone number and opting in through our website or authorized forms,
you consent to receive SMS text messages from Complete Entertainment Inc (dba CEI Media Group).

A. SMS Program Description

Messages may include:

  • Appointment reminders
  • Project updates
  • Service notifications
  • Account-related communications
  • Promotional offers, discounts, and marketing announcements

F. Carrier Liability

Carriers are not liable for delayed or undelivered messages.

4. AI Systems Disclaimer

Clients acknowledge:

  • AI outputs are algorithmic and may vary
  • Results are not guaranteed
  • Clients are responsible for reviewing public-facing content
  • CEI does not guarantee business performance outcomes

5. Intellectual Property

Unless otherwise specified:

  • CEI retains ownership of proprietary systems and AI frameworks
  • Custom deliverables are governed by contract
  • CEI may create and distribute original or AI-generated content for its own commercial benefit

6. Warranty Disclaimer

CEI disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation

7. Limitation of Liability

To the maximum extent permitted by law:

  • CEI shall not be liable for indirect, incidental, consequential, punitive, or special damages.
  • Total liability shall not exceed the total fees paid by the client in the preceding twelve (12) months.

8. Indemnification

Clients agree to indemnify and hold harmless Complete Entertainment Inc. and CEI Media Group from claims arising from:

  • Client misuse of services
  • Violations of communication laws
  • Infringement from client-provided materials
  • Regulatory penalties related to client campaigns

9. Force Majeure

CEI shall not be liable for failure to perform due to causes beyond its reasonable control,
including acts of God, cyberattacks, governmental actions, labor disputes, or infrastructure failures.

10. Dispute Resolution – Binding Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration administered
by the American Arbitration Association under its Commercial Arbitration Rules.

  • Arbitration shall take place in Cook County, Illinois.
  • The arbitrator’s decision shall be final and binding.
  • Judgment may be entered in any court of competent jurisdiction.

11. Class Action Waiver

To the fullest extent permitted by law:

  • Disputes must be brought individually.
  • No class actions, collective actions, or representative proceedings are permitted.
  • You waive any right to participate in a class action against CEI.

12. Governing Law

These Terms shall be governed by the laws of the State of Illinois.
